Color Guru, LLC Affiliate Agreement

By clicking “I Agree” below, you acknowledge that you have read, understood, and agree to the terms of this Affiliate Agreement (“Agreement”) with Color Guru, LLC (“Company”).

1. REFERRAL PROGRAM

  • Affiliates earn a 10% commission on Virtual Color Consultations (after the 10% discount for the coupon code) when a purchase is made using their unique coupon code.
  • No commission is earned if the coupon code is not used.
  • Affiliates must disclose their affiliate status in all promotions per FTC guidelines.

2. TERM & TERMINATION

  • This Agreement remains in effect until either party terminates it with written notice.
  • Affiliates are entitled to commissions accrued before the termination date but not after.

3. COMMISSIONS & PAYMENT

  • Commissions are paid quarterly within 15 days of each quarter’s end via PayPal.
  • No commissions are paid on refunded or defaulted purchases.

4. COMPANY’S RIGHT TO DENY CLIENT

  • Company reserves the right to accept or deny any referred client at its sole discretion.

5. TAXES

  • U.S. affiliates must submit a W9 form; international affiliates must submit a W8BEN.
  • Affiliates are responsible for reporting their earned commissions to tax authorities.

6. RELATIONSHIP OF PARTIES

  • Affiliates act as independent contractors, not employees or representatives of the Company.

7. NO REPRESENTATIONS REGARDING INCOME

  • Company makes no guarantees about income potential from the affiliate program.

8. NO EXCLUSIVITY

  • Either party may engage in other business activities without exclusivity.

9. MODIFICATIONS

  • Company reserves the right to modify this Agreement upon written notice.

10. CONFIDENTIALITY & INTELLECTUAL PROPERTY

  • Affiliates must keep the terms of this Agreement confidential.
  • Company trademarks, trade names, and materials may not be used without express permission.

11. LIABILITY & INDEMNIFICATION

  • Affiliates agree to indemnify and hold Company harmless from any claims arising from their participation.

12. DISPUTE RESOLUTION

  • Disputes under $5,000 are subject to Delaware courts.
  • Disputes over $5,000 will be resolved through arbitration in New Castle County, Delaware.

13. GOVERNING LAW

  • This Agreement is governed by Delaware law.
